Volunteer Position Summary

This is a new position for a part-time volunteer attorney (5 hours/month) with a commitment to working in the nonprofit sector and an interest in joining a 501(c)(3) organization.

Substantively, the position requires an attorney who has a working knowledge of the legal rules that apply to tax-exempt organizations but who is also a strong generalist or has the capacity to become one quickly. In terms of approach, the ideal candidates will be able to offer legal counsel across departments, collaborating with others to devise and implement creative legal solutions in a complex nonprofit setting. The General Counsel will work with the Executive Team and will support HTC’s work by advising on contracts, grantmaking, nonprofit tax, communications, trademarks, human resources, and organizational policy issues.

Responsibilities

• Review, negotiate and draft a variety of contracts and other agreements

• Conduct legal research and analyze legal issues that affect the organization

• Provide counsel on the state, federal and international rules that apply to HTC, including providing advice and designing compliance programs related to HTC’s local/state charitable fundraising activities

• Serve as a broad-based resource for Executive Team legal concerns and collaborate to find practical answers to a diverse range of legal questions associated with HTC’s work and operations

• Collaborate with the Executive Team on organization-wide projects

• Coordinating with legal personnel at peer organizations regarding best practices and special projects

• Other duties and projects as requested by the Executive Team

Requirements

• J.D. from an accredited law school

• Current admission to the Texas bar or eligibility for immediate admission as registered in-house counsel is required.
